Terms of Service

Terms governing use of the AccessLayer services.

Effective date: April 9, 2026

These Terms of Service ("Terms") form a binding agreement between you and Alfred Roger Michael Jones, trading as AccessLayer ("AccessLayer", "we", "us", or "our").

These Terms govern your access to and use of the AccessLayer website, hosted application, APIs, dashboards, connectors, query tools, AI features, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Eligibility and Accounts

You must provide accurate account information and keep your account credentials secure. You are responsible for all activity under your account except to the extent caused by our own breach of these Terms or failure to use reasonable security measures.

You must promptly notify us at alfie@accesslayer.ai if you believe your account has been compromised.

The Services

AccessLayer is an AI-powered business intelligence and analytics platform that allows users to connect third-party data sources, run queries, create charts and dashboards, and generate AI-assisted insights.

We may add, remove, modify, suspend, or discontinue features at any time. We may also impose or adjust usage limits, connector limits, storage limits, query limits, or AI usage limits.

Plans, Billing, and Payment

AccessLayer may offer free tiers, self-serve paid plans, usage-based billing, annual plans, and enterprise arrangements.

Paid fees are due as specified at purchase or in your order form. Monthly plans renew automatically each billing cycle unless cancelled before renewal. Annual plans are purchased as committed terms and are generally non-cancellable and non-refundable during the applicable term except where required by law or expressly agreed by us in writing.

Usage-based charges may be billed in arrears based on measured consumption.

Except where required by law, fees are non-refundable. We may, in our sole discretion, provide prorated credits or refunds in limited cases. Taxes are your responsibility except for taxes based on our net income.

We may suspend or limit access for failed payments, overdue invoices, chargebacks, or payment disputes.

Customer Data and Ownership

As between you and AccessLayer, you retain all rights in the data, prompts, credentials, files, query text, dashboards, and other content you submit to or generate through the Services ("Customer Data").

You grant AccessLayer a limited, non-exclusive right to host, copy, cache, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, maintain, improve, and support the Services, comply with law, and enforce these Terms.

Connectors and Third-Party Data Sources

The Services may connect to third-party APIs, databases, SaaS services, warehouses, and other systems through API keys, tokens, OAuth, database credentials, and similar methods.

You are solely responsible for:

  • ensuring you have all rights, permissions, and lawful bases needed to connect data sources;
  • ensuring your users are authorized to access and query connected data;
  • complying with third-party terms, API limits, and data use restrictions; and
  • the accuracy, legality, and integrity of your Customer Data.

AccessLayer is not responsible for third-party outages, API changes, revoked credentials, schema changes, rate limits, incomplete data, delayed syncs, or inaccurate source-system data.

AI Features

The Services may use third-party AI providers, model providers, and routing or gateway providers selected by AccessLayer. We aim to opt out of provider training on customer inputs and outputs where commercially and technically available, but we do not guarantee that every provider or pathway will support every privacy control in every case.

AI-generated outputs may be inaccurate, incomplete, misleading, biased, stale, or unsuitable for your intended use. You are solely responsible for reviewing and validating all outputs before relying on them.

AccessLayer does not provide legal, financial, tax, accounting, investment, employment, medical, or other professional advice. You must not rely on the Services or any AI output as the sole basis for business, financial, legal, compliance, hiring, operational, or safety-critical decisions.

If you submit sensitive, confidential, regulated, or high-risk data to AI-enabled features, you do so at your own risk.

Acceptable Use

You must not:

  • use the Services unlawfully or in violation of any third-party rights;
  • connect or query data you are not authorized to access;
  • interfere with, probe, reverse engineer, or disrupt the Services or related systems;
  • bypass plan limits, access controls, or technical restrictions;
  • upload malware, harmful code, deceptive content, or unlawful content;
  • use the Services to scrape, exfiltrate, or mass-export data in a manner that is abusive or unauthorized; or
  • use the Services in a way that materially harms service availability or performance for others.

We may suspend or terminate accounts or workloads that violate these Terms or create security, legal, or operational risk.

Security and Credentials

You are responsible for safeguarding credentials used to access your data sources. While we use reasonable security measures, no system is completely secure and you acknowledge the inherent risks of internet-based services and third-party integrations.

Data Retention and Deletion

We generally aim to delete customer content from active systems within 30 days after valid deletion or termination requests, and from backups or residual systems within up to 90 days, unless longer retention is required for legal, billing, fraud prevention, security, or dispute-resolution purposes.

Some account deletion requests may require you to contact us at alfie@accesslayer.ai. We will process such requests within a reasonable time, generally within 30 days.

Intellectual Property

The Services, including the software, design, branding, documentation, and underlying technology, are owned by AccessLayer or its licensors and are protected by law.

Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Feedback

If you provide feedback, suggestions, or ideas, you grant AccessLayer a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation.

Beta and Preview Features

We may label certain features as beta, preview, alpha, early access, or experimental. Those features may be changed or withdrawn at any time and are provided with no guarantees regarding availability, support, or reliability.

Termination

You may stop using the Services at any time. We may suspend or terminate access immediately if you violate these Terms, fail to pay fees, create risk to the Services or others, or where continued service is impractical or unlawful.

Sections that by their nature should survive termination will survive.

Warranties Disclaimer

To the maximum extent permitted by law, the Services are provided "as is" and "as available". AccessLayer disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

We do not warrant that the Services, third-party integrations, or AI outputs will be error-free, complete, accurate, secure, or suitable for your use case.

Limitation of Liability

To the maximum extent permitted by law, AccessLayer will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings.

To the maximum extent permitted by law, AccessLayer's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  • the amounts paid by you to AccessLayer for the Services in the 12 months before the event giving rise to the claim; or
  • AUD $100.

Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold harmless AccessLayer from claims, losses, liabilities, damages, and costs arising from:

  • your Customer Data;
  • your use of the Services;
  • your violation of these Terms;
  • your violation of law; or
  • your infringement of third-party rights.

Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia, excluding conflict of laws rules.

The courts of Melbourne, Victoria will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by updating the effective date.
